Terms.
Simpyl Terms and Conditions
1. About these terms
These terms are a contract between your business and Simpyl LLC, an Oklahoma limited liability company ("Simpyl", "we", "us"). They cover Simpyl Receptionist, our AI voice receptionist for inbound calls, which you set up and manage inside an AI assistant app, called "the assistant app" here.
By accepting these terms when you create your account or sign in, you agree to these terms and our Privacy Policy. If you don't agree, don't use Simpyl.
2. Who can use Simpyl
- Simpyl is for businesses located in the United States. It's not for personal or household use.
- You must be at least 18 and have authority to accept these terms for your business.
- Healthcare businesses that handle patient information may not use Simpyl. You may not use Simpyl to collect or handle protected health information. By using Simpyl you confirm that your business isn't one of these.
- You may not use Simpyl if we've previously closed your account for breaking these terms.
3. Your account
- Each account has one owner and one email address. Invited users aren't supported yet.
- You'll verify your phone number with a one-time code that we text to it through Plivo. We send one text per code request, and resends are limited. Message and data rates may apply. You'll also give us your name, email, phone number, company name, company size, trade, ZIP code and business hours. Keep this information accurate.
- You sign in with your email and password, or with a sign-in link we email you. You'll then approve the connection between Simpyl and the assistant app.
- Keep your password and access to your email, phone and assistant app secure. You're responsible for everything done through your account.
- One account can connect to more than one assistant in the assistant app.
- Tell us right away if you think someone has used your account without permission.
4. The service
- Simpyl answers inbound calls only. It doesn't make outbound calls, and it doesn't port your existing number. You can forward your existing business number to your Simpyl number.
- Every phone number is free. We pick a local number based on your ZIP code when we can. Each number is set up as its own agent, and all your agents draw from the same wallet. The only per-number charge is the inactivity fee in section 5, which applies only to a number that gets no calls for 30 days in a row.
- Each account can have up to 2 numbers to start. If you need more, email support@simpyl.ai and we'll review your request.
- Every agent needs a backup number before it goes live. Backup and transfer numbers must be standard-rate numbers in the contiguous US. International, toll-free, premium, Alaska and Hawaii numbers aren't allowed.
- Simpyl doesn't save call audio, recordings or transcripts. Call audio is processed live by our telephony and AI providers to answer calls, and those providers may keep some data under their own policies (see Privacy Policy section 7).
- Transfers happen only when the caller asks for the owner, and each transfer is one attempt to your approved number. The agent doesn't try another number. If your voicemail picks up, the call counts as connected. If the transfer isn't connected, the agent takes a message instead. Answering transferred calls is up to you. We store your approved transfer number in full so our server can dial it, and our billing records keep it for each transfer.
- If our own systems can't start the AI receptionist, we'll forward the call to your backup number at no charge.
- Messages and appointments are available through the assistant app. In this version we don't send email or text alerts about new messages.
- If your wallet reaches zero for any reason, including inactivity fees, the call in progress finishes and then your service pauses. Only adding funds restores your service.
- When your service pauses, we hold your phone numbers for 14 days. We'll email you when your service pauses, 10, 5 and 1 days before your numbers are released, and when they're released. Each email reminds you to update or turn off call forwarding from your business line. Replying to these emails doesn't stop the clock. If you don't add funds within the 14 days, your numbers are released on day 15.
- Released numbers go straight back to our phone carrier. We don't hold them for a rest period. The carrier may later assign them to someone else, and calls to them may then reach that person or business. Your call logs, messages and appointments don't go with the number.
- Phone numbers we provide are assigned to Simpyl by our phone carrier. You don't own them, and you can use them only while your account is open. While your account is active and in good standing, you can ask to move (port) your number to another provider, where our carrier allows it.
- Before your numbers are released, or before you delete your account, update or turn off call forwarding from your business line. Otherwise your customers' calls may reach someone else.
- While your service is paused, the receptionist doesn't answer calls. If we offer forwarding to your backup number during a pause, we'll tell you about any fee before it applies.
- Calls may be limited to a maximum length shown in your settings. Calls may also end after a period of silence.
5. Prepaid wallet and pricing
Simpyl is prepaid only. You add money to one shared wallet through Stripe Checkout, and charges come out of that wallet. We don't send conventional invoices. Stripe handles payments and receipts.
| Item | Price |
|---|---|
| Monthly fee | None |
| AI receptionist time | $0.15 per minute, rounded up to the next whole minute for each answered call, including spam and robocalls |
| Phone numbers | Every number free. $0.99 a month per number only if it gets no calls for 30 days in a row (inactivity fee*) |
| Transferred calls | The first 15 minutes of the transferred part of each call are free. After that, we pass on our phone carrier's cost with no markup (currently about $0.0074 per minute). |
| Transfer attempt | No charge |
| Inactivity fee* | $0.99 a month for each phone number that has no incoming calls for 30 days in a row |
* See "Inactivity fee" below.
- The minimum top-up, if any, is shown on the add-funds screen before you pay.
- Funds are added to your wallet only after Stripe confirms the payment to us. Until then, the top-up doesn't show in your balance.
- The minute meter starts when the call is answered and stops when the AI session ends or a transfer begins.
- Calls that look like spam or robocalls are billed the same as other calls. The receptionist is told to end them quickly.
- Transferred calls: the AI minute meter stops when a transfer begins. The first 15 minutes of the transferred part are free. Any time after that is charged at our carrier's cost, with no markup. The current rate and how transfer time is measured are shown in the assistant app. There's no charge for a transfer attempt, even if no one answers.
- Phone numbers: every number is free, including any you add later (up to 2 per account to start; see section 4). Each number is set up as its own agent and draws from your shared wallet. The only per-number charge is the inactivity fee below.
- Inactivity fee: the fee is charged per agent, which means per phone number. Each number has its own rolling 30-day period. If no incoming calls to a number are recorded in your call logs for 30 days in a row, $0.99 comes out of your wallet for that number. It comes out again each month after that until an incoming call to that number is recorded, you cancel that number's agent, or your wallet balance reaches zero. Only the quiet number is charged. There's no limit on the number of monthly fees. Before a number's first fee, we'll email you once about that number. Any incoming call to that number recorded in your call logs starts a new 30-day period for it.
- The inactivity fee comes out of your wallet balance, including any startup or referral credit, and never takes your balance below zero. If it brings your balance to zero, your service pauses (see section 4).
- Credit we give you, such as startup or referral credit, works the same as money you add: it pays for calls and other wallet charges, including the inactivity fee.
- At zero balance, the call in progress finishes and service pauses until you add funds (see section 4).
- Prices may change. We'll give you notice before price changes take effect.
- If any taxes or fees apply to your use of Simpyl, we'll tell you before they're charged.
6. Auto top-up authorization
Auto top-up isn't currently offered. If we offer it, it will be optional, and this section will apply. If you turn it on, you choose a balance threshold and a refill amount. You authorize Simpyl, through Stripe, to charge your saved payment method for the refill amount each time your balance drops below your threshold, until you turn auto top-up off. You can turn it off any time in the assistant app. Turning it off stops future charges but doesn't reverse charges already made.
7. Free trial
- We may offer $5 of startup credit to new businesses. Startup credit doesn't expire.
- Startup credit works the same as money you add. It pays for calls and other wallet charges, including the inactivity fee. There's no separate free-minute allowance.
- Unused startup credit has no cash value and can't be cashed out or transferred. It isn't refunded, including when your account closes (see section 9).
- One trial per business. We may use verified contact details and, where available, an assistant identifier to enforce this.
- Trials are funded from a limited total budget and are available only while the program lasts. We may end the trial program at any time.
- Money you add doesn't expire and keeps your service running while your balance lasts.
8. Referral program
We don't currently offer a referral program. If we launch one, we'll post its terms before it starts.
9. Refunds
- Wallet top-ups are non-refundable, except as described in this section or where the law requires.
- When you close your account, we refund your remaining wallet balance, up to the total you paid in. Charges use up free credit, such as startup or referral credit, before money you added. Free credit is never refunded.
- The refund goes back to the payment method you used to add funds. Some refunds have to be sent by hand and may take longer.
- If we get a payment we can't match to an account, we refund it to the payment method it came from.
- Startup and referral credit have no cash value and can't be cashed out.
- If you think we charged you by mistake, contact us promptly and we'll look into it.
- While we're testing payments, some balances may be test funds with no real money behind them. We may remove test funds at any time, and they're never refunded.
10. Your callers: disclosures and consent
You're responsible for using Simpyl lawfully with your callers. Simpyl doesn't announce to callers that they're speaking with an AI. That means:
- You must give any notices and get any consents the law requires. This includes notices that callers are speaking with an AI and that calls are being processed or monitored, under call recording, wiretap and two-party consent laws, and AI or bot disclosure laws.
- You must follow the Telephone Consumer Protection Act (TCPA) and similar laws for any calls or texts you make or arrange, including callbacks.
- You must tell your callers how you use their information.
- Your agent's instructions must not tell it to mislead callers, including about whether they're talking to a person.
- We may add disclosures or announcements to calls where we believe the law requires them, without notice.
11. Acceptable use
You may not use Simpyl to:
- Break any law, or help someone else break one.
- Collect protected health information or patient information.
- Deceive, defraud, harass or threaten anyone.
- Impersonate a person or business, or mislead callers about who they're speaking with.
- Collect payment card numbers, Social Security numbers or similar sensitive data over the phone.
- Handle emergency calls, or present Simpyl as an emergency service.
- Interfere with, overload, reverse engineer or test the security of Simpyl without written permission.
- Resell or sublicense Simpyl without our written permission.
12. AI limits and emergencies
Not for emergencies. Simpyl is not an emergency service and must not be used for emergencies. Callers with an emergency, such as a gas leak, fire or medical emergency, should hang up and call 911. Set your agent's instructions to say so.
- The AI receptionist can make mistakes. It may misunderstand callers, take down wrong details, book the wrong time or give wrong answers.
- We don't guarantee that any call will be answered, transferred, or recorded correctly as a message, or that the service will always be available.
- Check messages and appointments yourself. Don't rely on Simpyl for anything where a mistake could cause injury or serious harm.
- The agent follows your instructions. You're responsible for what you tell it to say, including prices, quotes and promises.
- The agent should not claim to be human. You may not instruct it to say it's a person.
13. Third-party services
Simpyl relies on other companies, including Plivo (phone service and text codes), xAI (Grok Voice AI), Stripe (payments), Supabase (database and sign-in), US-based cloud hosting providers, and the assistant app. Their services may have their own terms. We aren't responsible for outages or problems caused by them, but we'll work to limit the impact on you. Payments you make through Stripe are also subject to Stripe's terms.
14. Your content and our intellectual property
- You own your business information, agent instructions, and the messages and appointments taken for you.
- You give us permission to use that content only to provide, secure and support the service.
- Simpyl owns the service, software, name and branding. We give you a limited, non-exclusive, non-transferable right to use Simpyl while your account is active and you follow these terms.
- If you send us feedback, we may use it without owing you anything.
15. Privacy
Our Privacy Policy explains how we handle information. For your callers' information, we act as your service provider and use it only to provide the service to you.
16. Disclaimers
Simpyl is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise the service will be uninterrupted, error-free or meet every need.
17. Limitation of liability
To the extent the law allows: (a) we aren't liable for lost profits, lost revenue, lost business or missed jobs, or for indirect, special or consequential damages; and (b) our total liability for all claims about Simpyl is limited to the amount you paid us for Simpyl in the 12 months before the claim arose. Some states don't allow some of these limits, so they may not all apply to you.
18. Indemnity
You'll defend and cover Simpyl against claims, fines and costs (including reasonable legal fees) that come from your use of Simpyl, your agent's instructions, your failure to give caller disclosures or get consents, your handling of caller information, or your breaking these terms or the law.
19. Suspension, termination and deletion
- You can close your account at any time on the Account page of the account portal, after confirming. Closing is permanent and can't be undone.
- When you close your account, your phone numbers are released right away, with no 14-day hold. Your receptionist stops answering calls. You're signed out everywhere and can't sign in again.
- When you close your account, we refund your remaining balance as described in section 9.
- For now, after you close, we keep your account records, including call logs, messages and settings, in our systems. We're setting up automatic deletion and will update this section when it's running.
- Our providers, such as Plivo, xAI and Stripe, keep their own records under their own policies.
- Before you close your account, or before your numbers are released, update or turn off call forwarding from your business line (see section 4). Your numbers are released right away when you close, so do this first.
- We may suspend or close your account if you break these terms, if your use creates legal risk or harm, if required by law, or if a provider requires it. Where reasonable, we'll tell you first.
- Sections that by their nature should survive will survive, such as payment, disclaimers, limitation of liability, indemnity and dispute terms.
20. Governing law
These terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. The state or federal courts located in Cleveland County, Oklahoma will have exclusive jurisdiction over any dispute about these terms or Simpyl, subject to section 21.
21. Dispute resolution
Before filing a claim, contact us and try to resolve the dispute informally first.
22. Changes to these terms
We may update these terms. We'll change the "last updated" date and, for important changes, tell you through the assistant app or by email before they take effect. If you keep using Simpyl after that, you accept the new terms.
23. General
- These terms and the Privacy Policy are the whole agreement between us about Simpyl.
- If a part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right right away, we haven't given it up.
- You can't transfer these terms without our consent. We may transfer them as part of a merger, sale or reorganization.
- Neither of us is responsible for delays caused by events outside reasonable control.
